Terms and Conditions
1. Acceptance of Terms
These Terms and Conditions (“Terms”) govern access to and use of the Lynxify platform and related services (collectively, the “Service” or “Platform”).
The Platform is provided exclusively to organizations (companies, businesses, and other legal entities) for use by their personnel. By accessing or using the Service, you agree to comply with and be bound by these Terms. If you do not agree to these Terms, you must not access or use the Platform.
These Terms apply to the contracting organization (the “Organization”) and to all individual users authorized by that Organization to access the Service, including Account Owners, Super Managers, Managers, and Users.
2. Definitions
For the purposes of these Terms:
- “Organization” means the legal entity that registers a Lynxify workspace and on whose behalf the Service is used.
- “Workspace” means the dedicated environment created on the Platform for a single Organization.
- “User” means any individual authorized by an Organization to access the Workspace, regardless of role.
- “Account Owner” means the User with full administrative rights over a Workspace, ordinarily the User who registered the Organization.
- “User Content” means feedback, ratings, comments, notes, summaries, and any other content submitted to the Platform by a User.
- “Sub-Processor” means a third party engaged by Lynxify to process personal data on behalf of an Organization in connection with the Service.
3. Description of the Service
Lynxify is a professional feedback and performance management platform designed to help Organizations collect, manage, review, and analyze workplace feedback and performance-related insights.
The Platform may include features such as:
- 360-degree feedback workflows;
- Peer, manager, and self-feedback;
- Performance review cycles;
- Anonymous and attributed feedback modes;
- Criteria-based ratings and evaluations;
- AI-assisted summaries and insights;
- Reporting and in-app summary views;
- User, role, and workspace administration.
The Service is intended solely for lawful business and organizational purposes. Features and functionality may evolve over time as described in Section 16 (Availability and Service Changes).
4. Eligibility and Access
The Service is offered only to Organizations and the Users they authorize. By using the Platform, you confirm that:
- You are using the Service on behalf of, or as an authorized User of, an Organization;
- Where you register a Workspace, you have the authority to bind the Organization to these Terms;
- Your use of the Service complies with all applicable laws and regulations.
4.1 Organization Responsibility for Users
The Organization is solely responsible for:
- Determining which individuals it invites or authorizes as Users;
- Ensuring that such Users meet the minimum age requirements applicable in their jurisdiction (and in any event are old enough to lawfully enter into an employment or comparable working relationship);
- Managing internal access, role assignment, and offboarding within the Workspace.
4.2 Invitation-Based Access
Access to a Workspace is granted by invitation from an authorized Organization administrator. Invitation links may expire after a limited period determined by the Organization or the Platform.
4.3 Account Responsibility
Users are responsible for:
- Maintaining the confidentiality of their login credentials;
- All activities conducted under their account;
- Ensuring that account information is accurate and up to date.
Users agree not to:
- Share credentials with unauthorized individuals;
- Impersonate another person or entity;
- Attempt to gain unauthorized access to the Platform or related systems.
Lynxify reserves the right to suspend or terminate accounts that violate these Terms.
4.4 Third-Party Authentication
The Platform supports authentication through Google (Google OAuth 2.0) and Microsoft (Microsoft / Azure AD). Use of these third-party authentication services is subject to the applicable provider’s terms and policies. Lynxify does not store third-party account passwords.
5. User Roles and Permissions
The Platform operates using role-based permissions that may include:

Organizations are solely responsible for assigning and managing user roles and permissions within their Workspace.
6. Feedback Data and User Content
Users may submit feedback, comments, assessments, ratings, summaries, or other content (“User Content”) through the Platform.
6.1 Ownership
Unless otherwise agreed between the Organization and its Users:
- Feedback data created in a Workspace belongs to the Organization that owns the Workspace;
- Users retain ownership of their original submitted content where applicable under law.
6.2 License to Lynxify
By submitting User Content through the Platform, the Organization and its Users grant Lynxify a limited, non-exclusive, worldwide license to:
- Host;
- Store;
- Process;
- Display;
- Analyze;
- Generate reports and insights;
- Provide AI-assisted functionality
solely for the purpose of operating, maintaining, securing, and improving the Service.
6.3 Drafts and Visibility
- Draft feedback remains visible only to the submitting User until submitted;
- Submitted feedback visibility depends on Workspace settings and workflow configuration;
- Consolidated summaries may be visible to designated managers, administrators, and feedback recipients in accordance with role permissions.
6.4 Anonymous Feedback
Where anonymous feedback mode is enabled:
- The reviewer’s identity is hidden from recipients and other Users;
- Anonymous submissions are displayed without attribution;
- Individual ratings and comments are not linked to identifiable user information within the Platform interface.
Organizations acknowledge that complete anonymity cannot be absolutely guaranteed in all circumstances outside the Platform environment.
6.5 Submitted Feedback
Once feedback is submitted, it may not be editable by the reviewer unless explicitly allowed by the Organization’s configuration or workflow settings.
Users are solely responsible for the legality, accuracy, and appropriateness of submitted content.
7. AI-Assisted Features
Certain features of the Platform may use artificial intelligence or automated processing to generate:
- Summaries;
- Recommendations;
- Analytics;
- Classifications;
- Insights;
- Suggested content.
You acknowledge and agree that:
- AI-generated outputs may contain inaccuracies or incomplete information;
- AI outputs are intended solely for informational and support purposes;
- Human review and decision-making remain the responsibility of the Organization and its Users;
- Lynxify does not guarantee the accuracy, completeness, or suitability of AI-generated outputs.
The Platform must not be used as the sole basis for employment, legal, disciplinary, compensation, or termination decisions.
7.1 Personal Data and AI Processing
To support privacy when AI features are used, Lynxify applies pseudonymization to remove or mask direct personal identifiers (such as User names) before submitting feedback content to AI processing providers. Details of AI Sub-Processors are described in Section 11 (Sub-Processors).
8. Acceptable Use
You agree to use the Platform lawfully, professionally, and respectfully.
You must not:
- Submit unlawful, defamatory, discriminatory, abusive, offensive, or harassing content;
- Attempt to identify authors of anonymous feedback;
- Use the Platform to harm, intimidate, or retaliate against others;
- Introduce malware, automated scripts, or harmful code;
- Interfere with the security, integrity, or operation of the Platform;
- Reverse engineer, copy, exploit, or misuse the Platform;
- Use the Service in violation of applicable laws or regulations;
- Submit confidential or personal data without proper authorization.
Lynxify reserves the right to suspend or terminate access for violations of these Terms.
9. Confidentiality
Users may have access to confidential organizational information through the Platform.
You agree to:
- Maintain the confidentiality of such information;
- Use information solely for authorized business purposes;
- Not disclose information to unauthorized parties.
Confidentiality obligations survive termination of access to the Platform.
10. Privacy, Data Protection, and Data Processing
Lynxify processes personal data in accordance with applicable privacy and data protection laws, including the General Data Protection Regulation (GDPR) where applicable.
10.1 Controller and Processor
With respect to personal data processed through the Platform in the course of feedback and performance management activities:
- The Organization acts as the data controller and determines the purposes and means of processing such personal data;
- Lynxify acts as the data processor, processing personal data on behalf of the Organization in accordance with these Terms, the Privacy Policy, and any applicable Data Processing Agreement.
Each Organization is responsible for ensuring it has a lawful basis under applicable law for processing personal data through the Service, including but not limited to providing required notices to its Users and feedback recipients.
10.2 Data Processing Agreement
A Data Processing Agreement (DPA) reflecting Article 28 GDPR requirements is available to Organizations on request. Where a DPA is signed between the Organization and Lynxify, it supplements these Terms in respect of personal data processing.
10.3 Data Subject Rights
Lynxify supports Organizations in responding to requests from data subjects exercising their rights under applicable law, including rights of access, rectification, erasure, restriction, portability, and objection. Data subjects should ordinarily direct their requests to their Organization in the first instance.
10.4 Privacy Policy
Please review our Privacy Policy for further information regarding:
- Personal data collection;
- Data processing activities;
- Security measures;
- Retention periods;
- International data transfers;
- User rights and requests.
11. Sub-Processors
To operate the Service, Lynxify engages a limited number of Sub-Processors, including providers of cloud hosting, transactional email, authentication, AI processing, and analytics.
A current list of Sub-Processors is maintained and made available to Organizations on request or via a designated page on the Platform. Lynxify will use commercially reasonable efforts to notify Organizations of material changes to its Sub-Processors.
12. Data Retention and Deletion
Unless otherwise required by law or agreed contractually with the Organization:
- Active and archived feedback cycles are retained for as long as the Organization’s Workspace is active;
- Deleted feedback cycles may be permanently and irreversibly removed;
- Deactivated Users’ historical feedback may remain within existing records belonging to the Organization;
- Upon termination of the Workspace, the Organization may export its data for a period of thirty (30) days following termination, after which Workspace data will be deleted or anonymized within a reasonable period, except where retention is required by applicable law;
- Organizations may at any time request deletion of specific Workspace data in accordance with applicable legal and contractual obligations.
13. Intellectual Property
All intellectual property rights related to the Platform, including but not limited to:
- Software;
- Source code;
- Designs;
- Branding;
- Logos;
- Documentation;
- AI models and analytics;
- Reports;
- Visual materials;
- Functionalities
remain the exclusive property of Lynxify or its licensors.
Except as expressly permitted under these Terms, the Organization and its Users may not reproduce, distribute, modify, sublicense, reverse engineer, or commercially exploit any part of the Platform.
14. Fees and Billing
The Service is currently provided free of charge to Organizations. Lynxify reserves the right to introduce paid plans or tiers in the future. Where Lynxify intends to introduce fees applicable to an existing Organization’s Workspace, Lynxify will provide that Organization with at least thirty (30) days’ prior notice before such fees take effect, and continued use of the Service after that date will be subject to the applicable pricing terms.
Where paid plans are introduced, additional billing terms (including invoicing, taxes, refunds, and renewal) will be made available to the Organization and incorporated into these Terms by reference.
15. Availability and Service Changes
We strive to maintain reliable availability of the Service but do not guarantee uninterrupted or error-free operation.
We may:
- Modify or discontinue features;
- Perform maintenance;
- Update functionality;
- Suspend access temporarily;
- Introduce new tools, integrations, or AI capabilities.
We are not liable for temporary interruptions or unavailability of the Platform.
16. Security
We implement reasonable technical and organizational security measures designed to protect information processed through the Platform.
However, no system can guarantee absolute security.
Users and Organizations are responsible for:
- Securing their credentials;
- Using secure devices and networks;
- Promptly reporting suspected security incidents or unauthorized access.
17. Third-Party Services
The Platform may integrate with third-party services, software providers, authentication providers, or external systems.
Lynxify is not responsible for:
- Third-party systems or availability;
- External websites;
- Third-party content or policies;
- Third-party integrations or failures.
18. Disclaimer of Warranties
The Service is provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted availability.
19. Limitation of Liability
To the fullest extent permitted by applicable law, Lynxify shall not be liable for:
- Indirect or consequential damages;
- Loss of profits or revenue;
- Loss of business opportunities;
- Reputational harm;
- Data loss;
- Business interruption;
- Reliance on AI-generated outputs.
Our total aggregate liability arising from the Service shall not exceed the amount paid by the Organization for the Service during the twelve (12) months preceding the claim.
Nothing in these Terms excludes liability that cannot legally be excluded under applicable law.
20. Indemnification
The Organization agrees to indemnify and hold harmless Lynxify, its affiliates, officers, employees, partners, and licensors from claims, liabilities, damages, or expenses arising from:
- The Organization’s use of the Platform;
- Violation of these Terms by the Organization or its Users;
- Unlawful or improper use of the Service by the Organization or its Users;
- Infringement of third-party rights by the Organization or its Users.
This indemnification obligation is undertaken by the Organization in its capacity as the contracting party and does not extend to obligations that may not lawfully be imposed on individual Users under applicable law.
21. Suspension and Termination
We reserve the right to suspend or terminate access to the Platform if:
- These Terms are violated;
- Unlawful activity is suspected;
- Security or operational risks are identified.
Except in cases of suspected unlawful activity, material breach, or security or operational risk requiring immediate action, Lynxify will use commercially reasonable efforts to provide the Organization with advance notice before suspending or terminating access.
Following termination, the Organization may export its Workspace data within the window described in Section 12 (Data Retention and Deletion).
Organizations may also terminate User access internally according to their own policies and administrative controls.
Certain provisions of these Terms survive termination, including confidentiality, intellectual property, limitation of liability, indemnification, and data-related provisions.
22. Governing Law
These Terms are governed by and interpreted in accordance with the laws of the jurisdiction in which Lynxify is registered, unless otherwise required by applicable law.
Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the competent courts of that jurisdiction.
23. Changes to These Terms
We may update these Terms from time to time.
Updated versions will be published on the Platform with a revised “Effective Date” or “Last Updated” date.
For material changes — including changes to liability, governing law, fees, or the handling of personal data — Lynxify will use commercially reasonable efforts to notify Organizations at least thirty (30) days in advance, by email to the Account Owner or by prominent notice within the Platform.
Continued use of the Service after updated Terms become effective constitutes acceptance of the revised Terms.

25. Entire Agreement
These Terms, together with the Privacy Policy and any executed Data Processing Agreement or order form, constitute the entire agreement between the parties regarding use of the Platform and supersede all prior agreements, communications, and understandings related to the Service.
By accessing or using Lynxify, you acknowledge that you have read, understood, and agreed to these Terms and Conditions.
